Requirements:

• Bachelor’s/Master’s degree in Law or Accounting.
• Minimum 3-5 years of relevant experience.
• Strong knowledge of:
• Legal system and principles in business.
• Primary and secondary research.
• Corporate governance laws.
• Local compliance laws and regulations.

Responsibilities:

1. Drafting and Circulating Meeting Minutes:

• Draft and circulate minutes of Board of Directors and Shareholders meetings.

1. Managing Book Closure and Dividends:

• Handle book closures, dividends, and newspaper advertisements.

1. Assisting Company Secretary:

• Aid the Company Secretary in meeting statutory requirements regarding board and secretarial matters.

1. Treasury Department Support:

• Assist the Treasury department in creating charges on various financing agreements.

1. Maintaining Records:

• Maintain Ultimate Beneficial Ownership register and address queries from local and international partners regarding UBO and KYC.
• Manage the Group Structure, including lists of Directors, CEO, CFO, Company Secretary, Legal Advisors, and Members of Board Audit Committees for all group companies.

1. Managing Shareholder Information:

• Oversee quarterly free floats, shareholding patterns, shareholder categories, and CDC reconciliation.

1. External Audit Management:

• Manage external audits, including CDC audits, related to their work.
